If you have any concerns or disputes about the Service, you agree to first try to resolve the dispute informally by contacting us. We will work in good faith to resolve any disputes within 30 days of receiving notice.
13.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY
If we cannot resolve a dispute informally, you and CT Caregiver agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be settled by binding arbitration, rather than in court, except that:
- You may assert claims in small claims court if your claims qualify
- You or we may seek equitable relief in court for infringement or other misuse of intellectual property rights
The arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction.
13.3 Class Action Waiver
CLASS ACTION WAIVER
YOU AND CT CAREGIVER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and CT Caregiver agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.
13.4 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law provisions. Any legal action or proceeding (other than arbitration) arising under these Terms will be brought exclusively in the federal or state courts located in Connecticut, and the parties hereby consent to personal jurisdiction and venue therein.
13.5 Time Limitation on Claims
You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to use of the Service or these Terms must be filed within one (1) year after such claim or cause of action arose or be forever barred.
We reserve the right to modify or replace these Terms at any time at our sole discretion. Material changes will be notified by:
- Posting the new Terms on this page with an updated "Last Updated" date
- Sending an email notification to the address associated with your account
- Displaying a prominent notice on our Platform
What constitutes a "material change" will be determined at our sole discretion. We will provide at least 30 days' notice for material changes. Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.
It is your responsibility to review these Terms periodically. We will indicate at the top of this page the date these Terms were last updated.
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Platform, constitute the entire agreement between you and CT Caregiver regarding the Service and supersede all prior agreements and understandings.
15.2 Severability
If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
15.3 Waiver
No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
15.4 Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign, transfer, or delegate these Terms and our rights and obligations without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their permitted successors and assigns.
15.5 Force Majeure
We shall not be liable for any failure to perform our obligations where such failure results from any cause beyond our reasonable control, including but not limited to mechanical, electronic, or communications failure or degradation, natural disasters, war, terrorism, riots, or government actions.
15.6 Relationship of Parties
Nothing in these Terms creates any agency, employment, joint venture, or partnership relationship between you and CT Caregiver. Neither party has any authority to bind the other or to incur any obligation on the other's behalf.
15.7 Third-Party Rights
These Terms do not and are not intended to confer any rights or remedies upon any person other than the parties to these Terms.
15.8 Notices
All notices to you will be provided via email to the address associated with your account or by posting on the Platform. Notices to us should be sent to the contact information provided in Section 16 below.
15.9 Export Control
The Service may be subject to U.S. export control laws. You agree to comply with all applicable export and re-export control laws and regulations.
